Pre-Authorized Debit Agreement

This form is to establish a Pre-Authorized Debit Agreement (“Agreement”) between you and Keep Technologies Corp. (“Keep”) for a Business Pre-Authorized Debit (“PAD”). Capitalized terms used but not defined in this Agreement have the meaning ascribed thereto in the platform agreement you have entered into with Keep (“Platform Agreement”).

You authorize Keep and any successor or assign of Keep to debit any and all bank accounts you have connected at any time through Open Banking Services in accordance with the Keep Linked Accounts Agreement in the following scenario:

  1. on the due date of your statement for recurring payments of variable amounts representing the amount of all transactions arising under your account for a given billing period. Billing periods may be daily, weekly, biweekly or monthly, as specified in the Platform Agreement.

You also authorize Keep and any successor or assign of Keep to debit variable amounts, including daily payments of partial amounts from any and all bank account for charges, fees, fines, balances, advances or other amounts owed in the following Scenarios:

  1. When your Outstanding Balance,as defined in the Cardholder Agreement, exceeds your Credit Limit.
  2. In the event of a Failure To Pay, as defined in the Cardholder Agreement, and in accordance with the Statement Advance Agreement
  3. Upon request initiated by you in writing or through the Keep Dashboard for the deposit of funds to a Currency Account
  4. Upon written notice of any breach by you of the Keep Platform Agreement, Business Account Agreement, Statement Advance AgreementCardholder Agreement, Rewards Terms, Linked Accounts Agreement, Flinks End User Agreement, and Electronic Communication Consent Agreement

Such payments will each constitute individual and separate charges, subject to reattempt upon failure for any reason.

You agree that the institution number, branch number and account number used to transmit Business PADs will be those of any bank account you have linked (“Linked Account”) as per the Linked Accounts Agreement

You agree that a written confirmation of this Agreement may be sent to you 5 calendar days following processing of the first PAD. You have waived your right to receive pre-notification of the amount of the PAD and agreed that you do not require advance notice of the amount of PADs before the debit is processed.

You have certain recourse rights if any debit does not comply with this Agreement. For example, you have the right to receive reimbursement for any PAD that is not authorized or is not consistent with this Agreement. To obtain more information about your recourse rights, you can contact your financial institution or visit www.payments.ca.

You have the right to cancel this Agreement. In order to cancel this Agreement, you must email support@trykeep.com with a request to cancel the PAD.

This authority is to remain in effect until Keep has received written notification from you of the change or termination. This notification must be received at least ten (10) business days before the next debit is scheduled.
